SHIELD BEARER MEMBERSHIP AGREEMENT
Millionaire Man Cave LLC
Updated and Revised as of November 1, 2026
This Shield Bearer Membership Agreement (this “Agreement”) is entered into as of the date the Shield Bearer electronically accepts it (the “Effective Date”), by and between Millionaire Man Cave LLC, a Wyoming limited liability company, also known as MMC Brotherhood (“MMC”), and the individual electronically accepting this Agreement (“Shield Bearer”).
This Agreement governs paid Shield Bearer membership only. It is the foundation for that membership. It does not govern Brotherhood Access or any compensated program. Compensation, if any, arises only under a separate Multiplier Agreement.
1. Nature of Membership
Shield Bearer membership is a paid, standalone membership. Monthly Dues are Ninety-Seven Dollars ($97.00), subject to change with notice. Shield Bearer status, by itself, creates no right to any commission.
2. Eligibility and Enrollment
The Shield Bearer must be a Natural Born Male, at least eighteen (18) years of age, and sponsored by an Access Member in Good Standing or a Shield Bearer in Good Standing. No entity may enroll. A man upgrading from Brotherhood Access must separately accept this Agreement and pay Monthly Dues. The original Sponsor of record remains the Sponsor.
3. Dues, Billing, and Cancellation
Monthly Dues are billed on a recurring basis. The Shield Bearer authorizes MMC to charge the payment method on file until cancellation. Cancellation stops future charges and does not entitle a refund for the current period except as required by law. Cancellation is through the account Command Center or by contacting support.
4. Good Standing
Good Standing means Monthly Dues are current, membership is not paused, suspended, or under unresolved compliance review, and there is no uncured material breach of this Agreement or the Member Code of Conduct.
5. What Is Included
Monthly Dues include the then-published Shield Bearer library. Experiences are extra for all men. Access to the platform is a limited, revocable right of use, not a sale of software.
6. Multiplier Eligibility
A Shield Bearer in Good Standing, and an Access Member in Good Standing, may each apply to become a Multiplier. Application does not guarantee acceptance. A Shield Bearer Multiplier is paid thirty percent (30%), and an Access Bearer Multiplier is paid twenty-five percent (25%), each on one level only, on the terms of the Multiplier Agreement. Those rates are stated here so the agreements align. They are earned only under the Multiplier Agreement.
Data and Line of Sponsorship
All data of the Brotherhood, including the line of sponsorship, the Sponsor of record, enrollment records, activity records, and member lists, is the sole property of MMC. The Shield Bearer has no ownership interest in that data and no right to export, copy, or use it except as this Agreement permits while he is in Good Standing. The line of sponsorship does not transfer with him and does not survive termination.
Media Release
The Shield Bearer grants MMC a perpetual, worldwide, royalty-free license to use his name, likeness, voice, and image in connection with the Brotherhood, including in photographs, video, and written accounts of Brotherhood activity. The license survives termination as to materials already created. MMC is not obligated to use any such material.
Intellectual Property and Advertising
All intellectual property of MMC, including the name, marks, logo, content, curricula, software, and materials, belongs exclusively to MMC. While The Shield Bearer is in Good Standing, MMC grants him a limited, non-exclusive, non-transferable, revocable license to use the marks and materials MMC designates, solely to identify his participation and solely in the form MMC approves. The license ends when Good Standing ends.
No advertisement, marketing piece, social media account, post, video, email, or other communication may state or imply that The Shield Bearer represents, is employed by, or speaks for MMC or for corporate. All advertising and marketing that uses the MMC name, marks, or materials must be submitted to the Guardian of the Fight or the compliance team, and approved in writing, before use. MMC may approve or disapprove any such collateral in its sole discretion. Use without that approval is a material breach.
Non-Disparagement
The Shield Bearer shall not disparage MMC, its members, its managers, or the Brotherhood, in any public or private communication, including on social media. Honest statements required by law, and private communications with counsel, are excepted. This section survives termination.
Confidentiality
The Shield Bearer shall not disclose non-public information of MMC, including member information, the line of sponsorship, financial information, and unpublished materials. The duty survives termination.
Account and Acceptable Use
The Shield Bearer is responsible for his account credentials and for activity under them. He shall not share access, scrape the platform, interfere with the service, or use the Brotherhood to send unsolicited commercial messages. MMC may suspend access for a breach or for security.
Disclaimer
The Brotherhood and the platform are provided as is. MMC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. MMC does not warrant uninterrupted access, any particular result, or any income.
Limitation of Liability
To the maximum extent permitted by law, MMC’s total liability arising out of this Agreement shall not exceed the amounts The Shield Bearer paid to MMC in the three (3) months preceding the claim, or one hundred dollars ($100) if none. MMC is not liable for indirect, incidental, consequential, or lost-profit damages.
Indemnity
The Shield Bearer shall indemnify, defend, and hold harmless MMC and its managers, members, and agents from any claim, damage, or expense, including reasonable attorneys’ fees, arising out of his breach of this Agreement, his content, his advertising, his use of the platform, or a claim that he represents MMC. This section survives termination.
Termination
Either party may end the membership on notice. MMC may suspend or end it immediately for loss of Good Standing or material breach. On termination the Shield Bearer shall stop using the marks and shall return or delete MMC materials. Sections on data, media, non-disparagement, confidentiality, indemnity, and limitation of liability survive.
Governing Law
Wyoming law governs. Exclusive venue lies in the courts of Sheridan County, Wyoming. If a provision is held invalid, the remainder continues. This Agreement is the entire agreement on Shield Bearer membership.
Electronic Acceptance
By clicking “I Agree,” checking the acceptance box, or otherwise electronically accepting this Agreement on the MMC website or application, you agree to this Agreement. Electronic acceptance has the same legal force as a manual signature under the Wyoming Uniform Electronic Transactions Act, Wyo. Stat. Ann. §§ 40-21-101 et seq. The Effective Date is the date of your acceptance. MMC may record the date, time, version, and account. If you do not agree, do not accept.
