MULTIPLIER AGREEMENT

This Multiplier Agreement (this “Agreement”) is entered into as of the date the Multiplier electronically accepts it (the “Effective Date”), by and between Millionaire Man Cave LLC, a Wyoming limited liability company, also known as MMC Brotherhood (“MMC”), and the individual electronically accepting this Agreement (“Multiplier”).
This Agreement is optional. It is available to an Access Member in Good Standing, and to a Shield Bearer in Good Standing, who applies and whom MMC accepts. It incorporates the data, media, intellectual-property, non-disparagement, confidentiality, and indemnity terms of the membership agreement that governs Multiplier, and those terms apply to this engagement.
1. Who May Apply
An Access Member in Good Standing, and a Shield Bearer in Good Standing, may each apply. Application does not guarantee acceptance. This Agreement is effective only if MMC accepts the application and the man electronically accepts this Agreement.
2. Administration Fee
Multiplier shall pay a non-commissionable Administration Fee of Ninety-Seven Dollars ($97.00) per year, due on acceptance and annually thereafter. It is separate from membership dues, is non-refundable except as required by law, and creates no commission. Failure to pay suspends or ends Multiplier status.
3. Access Bearer Rate — 25%
If Multiplier is an Access Member in Good Standing and is not a Shield Bearer, MMC pays him twenty-five percent (25%) of the collected monthly Shield Bearer dues of each Shield Bearer he personally sponsors who maintains membership and pays the recurring monthly dues. One level only. Payable only while both men remain in Good Standing and the sponsored dues are current.
4. Shield Bearer Rate — 30%
If Multiplier is a Shield Bearer in Good Standing, MMC pays him thirty percent (30%) of the collected monthly dues of each Shield Bearer he personally sponsors. One level only. Payable only while both men remain in Good Standing.
5. No Other Commission
There is no second tier. The only commissions under this Agreement are the twenty-five percent (25%) rate and the thirty percent (30%) rate. All other compensation programs are on hold. If an Access Bearer Multiplier later becomes a Shield Bearer in Good Standing, the 30% rate applies from the first day of the next month.
6. Line of Sponsorship
The line of sponsorship, and all data of the Brotherhood, is the sole property of MMC. Multiplier has no ownership in it and no right to export or use it except to perform under this Agreement while qualified.
7. No Representation of Corporate
Multiplier shall not state or imply that he represents, is employed by, or speaks for MMC or for corporate. All advertising and marketing that uses the MMC name, marks, or materials must be submitted to the Guardian of the Fight or the compliance team, and approved in writing, before use. MMC may approve or disapprove any such collateral in its sole discretion.
8. Status and Payment
Multiplier is an independent contractor and is solely responsible for taxes on amounts paid. MMC calculates the commission within thirty (30) days after the period closes and pays it within fifteen (15) days. A refund or chargeback is offset against the next amount due. No commission accrues for a period in which Multiplier is not in Good Standing.
9. Indemnity
Multiplier shall indemnify MMC against any claim arising out of his advertising, his representation of the opportunity, his breach, or a claim that he represents MMC. The indemnity in his membership agreement also applies.
10. Termination
Either party may end this Agreement on thirty (30) days’ notice. MMC may end it immediately for material breach or loss of Good Standing. Ending Multiplier status does not, by itself, end the underlying membership if the man remains in Good Standing under that agreement.
11. Governing Law
Wyoming law governs. Exclusive venue lies in the courts of Sheridan County, Wyoming. If this Agreement and a membership agreement differ on the rate or on who may apply, this Agreement controls as to compensation.
Electronic Acceptance
By clicking “I Agree,” checking the acceptance box, or otherwise electronically accepting this Agreement on the MMC website or application, you agree to this Agreement. Electronic acceptance has the same legal force as a manual signature under the Wyoming Uniform Electronic Transactions Act, Wyo. Stat. Ann. §§ 40-21-101 et seq. The Effective Date is the date of your acceptance. MMC may record the date, time, version, and account. If you do not agree, do not accept.
